Recomio Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Recomio platform, website, software, reports, dashboards, AI-powered analyses and related services (collectively, the “Service”).

By creating an account, accessing or using the Service, you agree to these Terms.

1. Eligibility

The Service is intended exclusively for business users.

You represent and warrant that:

• you are at least 18 years old;
• you are authorized to act on behalf of your company or organization;
• all registration information is accurate and kept up to date.

2. Description of the Service

Recomio is an AI-powered competitor email intelligence platform.

Depending on your subscription, the Service may include:

• access to competitor marketing emails;
• AI-generated analyses;
• daily summaries;
• weekly reports;
• monthly reports;
• discount monitoring;
• campaign monitoring;
• dashboard analytics;
• email notifications;
• competitor tracking.

The Service may evolve over time and new features may be introduced, modified or discontinued.

3. Accounts

You must create an account to use the Service.

You are responsible for:

• maintaining the confidentiality of your credentials;
• all activities occurring under your account;
• promptly notifying Recomio of unauthorized access.

Account sharing is prohibited unless expressly permitted under your subscription.

4. Subscription

Access to the Service is subscription-based.

Subscriptions automatically renew unless cancelled before the next billing cycle.

You may cancel your subscription at any time.

Cancellation prevents future renewals but does not entitle you to refunds except where required by applicable law.

Future annual subscriptions may be subject to separate refund provisions.

5. Free Trial

Recomio may provide a 30-day free trial.

At the end of the trial:

• access to premium functionality ends unless a paid subscription is purchased;
• your account remains active;
• your stored information may remain available subject to our retention policies.

Recomio may modify or discontinue free trials at any time.

6. Payments

Payments are processed by Mollie.

Recomio does not store complete payment card information.

Failure to complete payment may result in suspension of paid features.

7. Acceptable Use

You agree not to:

• violate applicable laws;
• infringe intellectual property rights;
• reverse engineer the Service;
• scrape or copy the platform;
• interfere with platform security;
• attempt unauthorized access;
• upload malicious code;
• distribute malware;
• perform brute-force attacks;
• share accounts outside permitted use;
• resell the Service without authorization;
• monitor private individuals;
• use the Service for phishing;
• send spam using information obtained through the Service;
• use the Service for illegal surveillance.

8. Email Monitoring

Recomio monitors publicly distributed marketing newsletters.

The Service does not:

• hack email accounts;
• intercept private communications;
• access protected inboxes;
• bypass security measures.

Competitor newsletters are collected through email addresses managed by Recomio after subscription to publicly available mailing lists.

Users may suggest competitor domains. Recomio determines whether newsletters are available and subscribes where appropriate.

9. AI-Specific Terms

Artificial Intelligence is used to analyze email content and generate summaries.

AI-generated content:

• may contain inaccuracies;
• may misclassify campaigns;
• may incorrectly interpret discounts;
• may omit information;
• should not be relied upon as the sole basis for business decisions.

Users should verify important information by reviewing the original emails.

The Service is intended as a decision-support tool and not as legal, financial, investment or business advice.

Recomio makes no warranty regarding the accuracy, completeness or suitability of AI-generated outputs.

10. Beta Features

Certain features may be identified as Beta.

Beta features:

• are provided “as is”;
• may change without notice;
• may be discontinued;
• may contain bugs or incomplete functionality.

11. Intellectual Property

The Service, including software, algorithms, dashboards, reports, designs, trademarks and documentation, remains the exclusive property of Digital Boom d.o.o.

No ownership rights are transferred to users.

Users receive a limited, non-exclusive, non-transferable license to use the Service during an active subscription.

12. User Content

Users may submit:

• competitor domains;
• notes;
• account information.

Users remain responsible for ensuring they have the necessary rights to any information they submit.

13. Feedback

If you submit suggestions, ideas or feature requests, you grant Recomio a perpetual, worldwide, royalty-free right to use, modify and incorporate such feedback without compensation.

14. Third-Party Services

The Service relies on third-party providers including but not limited to:

• Supabase
• OpenAI
• Google Cloud
• Mollie
• MailerLite
• Resend
• Postmark
• PostHog
• Vercel
• Google Analytics
• Google Tag Manager
• Meta Pixel

Availability of the Service may depend on these providers.

15. Availability

Recomio aims to provide a reliable and highly available service.

However, the Service is provided on a best-effort basis.

We do not guarantee uninterrupted, continuous or error-free operation.

Scheduled maintenance, upgrades, third-party outages and circumstances beyond our reasonable control may temporarily affect availability.

16. Security

Recomio implements reasonable technical and organizational measures designed to protect customer information.

No internet-based service can be guaranteed completely secure.

17. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECOMIO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY.

18. Limitation of Liability

To the fullest extent permitted by law:

• Recomio shall not be liable for lost profits;
• lost revenue;
• business interruption;
• loss of goodwill;
• indirect, incidental or consequential damages;
• incorrect AI analyses;
• business decisions made using the Service.

Our aggregate liability shall not exceed the amount of the last monthly subscription fee paid by the customer prior to the event giving rise to the claim.

19. Indemnification

You agree to indemnify and hold harmless Digital Boom d.o.o. against claims arising from:

• your misuse of the Service;
• violation of these Terms;
• unlawful activities;
• infringement of third-party rights.

20. Suspension and Termination

Recomio may suspend or terminate access if:

• these Terms are materially breached;
• the Service is used unlawfully;
• abusive or fraudulent activity is detected;
• platform security is threatened.

Termination does not affect accrued payment obligations.

21. Changes to the Service

Recomio may modify, improve or discontinue any feature of the Service at any time.

22. Pricing Changes

Subscription pricing may change.

Reasonable advance notice will be provided before new pricing becomes effective.

23. Changes to these Terms

Recomio may update these Terms from time to time.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

24. Confidentiality

Both parties agree to protect confidential information received in connection with the Service and not disclose it except where required by law.

25. Export Control

Users agree not to use the Service in violation of applicable export control laws, sanctions regulations or trade restrictions.

26. Force Majeure

Recomio shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, governmental actions, internet failures or failures of third-party providers.

27. Governing Law

These Terms shall be governed by the laws of the Republic of Slovenia.

The competent courts of Ljubljana, Slovenia shall have exclusive jurisdiction over disputes arising from these Terms unless mandatory law provides otherwise.

28. Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

29. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Service and supersede all prior agreements relating to the same subject matter.
